1. Acceptance and definitions

These Terms & Conditions ("Terms") govern your use of the Venue Verse website [www.venueverse.in], mobile apps and related services (together, the "Platform"). The Platform is operated by Avenzo Tech Labs Pvt. Ltd., a company registered in India with its office at [Registered Address] ("Venue Verse", "we", "us"). By creating an account, browsing or making a booking, you agree to these Terms, our Privacy Policy and our Cancellation & Refund Policy. If you do not agree, please do not use the Platform.

We may update these Terms from time to time. We will post the revised Terms on the Platform with a new "Last updated" date and, for material changes, notify you by email, SMS or in-app message. Continuing to use the Platform after changes take effect means you accept them.

Definitions
  • User / you – anyone who accesses the Platform or makes a booking.
  • Venue Partner – the owner or operator of a venue (sports turf, court, hall, banquet, studio or other space) listed on the Platform.
  • Venue – any space, facility or slot listed by a Venue Partner.
  • Booking – a reservation of a Venue for a specific date and time slot confirmed through the Platform.
  • Booking Amount – the total you pay for a Booking, including the venue price, any Convenience Fee and applicable taxes.

2. Eligibility and your account

  • You must be at least 18 years old and able to enter a binding contract under the Indian Contract Act, 1872. A minor may use a Venue only under a booking made and supervised by a parent or guardian.
  • To book, you need an account with your name, mobile number and/or email. The information you give must be true, accurate and kept up to date.
  • You are responsible for keeping your login details and OTPs confidential and for all activity on your account. Tell us at [support email] right away if you suspect unauthorised use.
  • One person may hold only one account. Accounts are personal and cannot be sold or transferred.
  • We may refuse registration, or suspend or close an account, if the information is false or the account is used in breach of these Terms.

3. Our role as a marketplace

Venue Verse is an online marketplace that connects Users with Venue Partners. We are an intermediary under the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020. We do not own, operate or manage the Venues unless a listing clearly says so.

  • Each Venue Partner is solely responsible for its Venue: condition, safety, amenities, staff, equipment, licences and the service it provides on the day.
  • Venue Partners supply listing details such as photos, pricing, amenities, rules and availability. We make reasonable efforts to check listings, but we do not guarantee that every detail is complete or current.
  • A confirmed Booking is a contract between you and the Venue Partner. Venue Verse facilitates the Booking, collects payment on the Venue Partner's behalf and helps resolve issues.
  • Each listing shows the Venue Partner's name, address and contact details, along with the price breakdown and applicable cancellation terms, as required by law.

4. Bookings, pricing and payments

  • Confirmation: A Booking is confirmed only when full payment (or the advance shown at checkout) succeeds and you receive a confirmation by SMS, email or in-app. Show it at the Venue on request.
  • Pricing: Prices are set by Venue Partners and shown in Indian Rupees (INR). They may vary by date, time slot, sport or event type. The price at checkout is final for that Booking.
  • Convenience Fee: We may charge a non-refundable Convenience Fee of [X% / ?X] per Booking. It is shown separately before you pay.
  • Taxes: GST and other applicable taxes are added as required by law and itemised on your invoice.
  • Payment methods: UPI, debit/credit cards, net banking and wallets, all processed by RBI-authorised payment gateways. We do not store your full card details.
  • Partial payment: Where a listing allows you to pay an advance, you must pay the balance directly at the Venue before your slot begins. If you don't, the Venue Partner may refuse entry and keep the advance.
  • Failed or duplicate payments: Any amount debited without a confirmed Booking is refunded automatically to the original payment method within [5–7] working days.
  • Slot timing: Your slot starts and ends at the booked times. A late arrival does not extend the slot. Overstaying may be charged at the Venue's rates.

5. Cancellations, rescheduling and refunds

Unless a listing shows its own cancellation policy, the default schedule below applies. The Convenience Fee is not refunded when you cancel.

  • Rescheduling: You may reschedule a Booking once, at no charge, up to [12] hours before the slot, subject to availability. Any price difference must be paid.
  • Cancellation by the Venue Partner: If the Venue Partner cancels, or the Venue is unavailable or unusable when you arrive, you get a full refund of the Booking Amount, Convenience Fee included, or a free reschedule if you prefer.
  • Weather and force majeure: If rain, a government order or another event outside anyone's control makes an outdoor Venue unplayable, you will be offered a reschedule or a refund of the unused portion, as confirmed by the Venue Partner. A reasonable decision on playability is made at the Venue.
  • How refunds are paid: Refunds go to the original payment method within [5–7] working days of approval. Where you choose, they may be credited to your Venue Verse wallet instead.
  • Disputes: Report any problem with a Booking to [support email] within [48] hours of the slot. Include your booking ID and any photos.

6. Conduct at venues and on the Platform

At the Venue, you agree to:
  • Follow the Venue's house rules, including footwear, dress code, number of players or guests, noise limits and timings.
  • Not bring or use alcohol, drugs, smoking products, weapons or hazardous items unless the Venue expressly allows them.
  • Pay for any damage to the Venue, its equipment or property caused by you or your group.
  • Treat staff and other Users with respect. Harassment, abuse, violence or discrimination may lead to removal without a refund.

Assumption of risk: Sports and physical activities carry an inherent risk of injury. You take part at your own risk and should make sure you are fit to participate. You are responsible for the members of your group. Neither Venue Verse nor, to the extent the law allows, the Venue Partner is liable for injury caused by your own or your group's actions.

On the Platform, you must not:
  • Post content that is false, defamatory, obscene, hateful or infringing, or that otherwise breaks Rule 3 of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
  • Make fake, speculative or bulk bookings to block slots, or resell Bookings.
  • Scrape, copy, reverse-engineer or overload the Platform, or try to gain unauthorised access to it.
  • Impersonate anyone, use another person's payment method without permission, or commit fraud.

8. Wallet, offers and reviews

  • Wallet credits: Credits from refunds or promotions can be used only for Bookings on the Platform. They cannot be transferred and have no cash value, except that credits from refunds can be withdrawn to your original payment method on request. Promotional credits may expire as stated when they are issued.
  • Offers and promo codes: Each offer has its own terms, such as validity, minimum booking value, eligible Venues and one use per User. We may change or withdraw an offer at any time and cancel benefits obtained by misuse.
  • Reviews and ratings: You may rate and review Venues only after a completed Booking. Reviews must be honest and based on your own experience. By posting content, you give Venue Verse a non-exclusive, royalty-free, worldwide licence to display and use it on the Platform and in related promotion. We may remove content that breaks these Terms, but we do not edit genuine reviews to change their meaning or suppress negative feedback.

9. Intellectual property, privacy and third-party links

  • The Venue Verse name, logo, design, software and content on the Platform belong to Venue Verse or its licensors. You may use the Platform only for personal, non-commercial booking. You may not copy, modify, distribute or create derivative works without our written permission.
  • We collect and use personal data under our Privacy Policy and the Digital Personal Data Protection Act, 2023. We share your name and contact number with the Venue Partner only to fulfil your Booking.
  • The Platform may link to third-party websites, apps or payment services. We do not control them and are not responsible for their content, terms or privacy practices.

10. Disclaimers, liability and indemnity

  • As-is service: We provide the Platform "as is" and "as available". We try to keep it running 24/7 without errors, but we do not guarantee uninterrupted access, and we may suspend it for maintenance.
  • Venue services: Because Venue Partners provide the Venue services, Venue Verse is not liable for their quality, safety, or any act or omission of a Venue Partner or its staff. You may still raise any such issue with us, and we will help resolve it.
  • Limit of liability: To the fullest extent the law allows, our total liability arising from a Booking is limited to the Booking Amount you paid for it. We are not liable for indirect, incidental or consequential losses, such as lost profits, travel costs or loss of enjoyment.
  • Exceptions: Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited under Indian law, including your rights under the Consumer Protection Act, 2019.
  • Indemnity: You agree to indemnify Venue Verse, its directors and employees against claims, losses and costs, including reasonable legal fees, that arise from your breach of these Terms, your misuse of a Venue or the Platform, or your violation of any law or third-party right.

11. Termination, disputes and contact

  • Suspension and termination: We may suspend or close your account if you breach these Terms, act fraudulently, or if the law requires it. Where practical, we will tell you why. Upcoming Bookings will be handled under Section 5. You may close your account at any time by writing to [support email]. Sections 6, 9, 10 and 11 survive termination.
  • Governing law: These Terms are governed by the laws of India. Subject to the steps below, the courts at [City, e.g. Nashik], [State] have exclusive jurisdiction.
  • Resolving disputes: Please contact customer support first. If a dispute is not resolved within 30 days, either party may refer it to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat will be [City], and the arbitration will be held in English. This does not affect your right to approach a Consumer Commission.
  • Other terms: If any provision is found unenforceable, the rest stay in effect. Not enforcing a right is not a waiver of it. You may not assign these Terms. We may assign them to an affiliate or a successor business.
